IFZA Mandatory Audit Requirements 2026

IFZA companies now have a clear annual financial reporting requirement. From 30 September 2025, IFZA requires its FZCOs and branches to submit financial statements as part of the annual trade licence renewal process.

Not every IFZA company needs a full independent audit, but every licensee must submit the required financial statements.

Important: IFZA’s own guidance confirms that the simplified option is available only when both conditions are met: turnover of AED 3 million or less and 9 employees or fewer. If either condition is exceeded, audited financial statements are required.

Is an Audit Mandatory for Every IFZA Company?

Every IFZA licensee must submit financial statements during the annual licence renewal process, but a small company may qualify for IFZA’s Simplified Financial Statement instead of a full audit.

 You may qualify for simplified statements when:
  • Annual turnover is AED 3 million or less; and
  • The company has 9 employees or fewer during the relevant financial year. Both conditions must be satisfied.

    You need audited financial statements when:

  • Turnover is above AED 3 million; or
  • The company has more than 9 employees.

Important: IFZA states that its own Simplified Financial Statement template must be used where the company qualifies for that option.

When Must IFZA Financial Statements Be Submitted?

The requirement is linked to the IFZA trade licence renewal. IFZA states that financial statements are submitted annually during the licence renewal process. The statements should cover the most recently completed financial year as of the licence renewal date. This means you should not wait until the licence is about to expire.

Result: It may submit the IFZA Simplified Financial Statement rather than a full independent audit, provided it otherwise meets IFZA’s requirements.

 

IFZA Trading Company

Turnover: AED 8 million  | Employees: 6 The company exceeds the AED 3 million turnover threshol

Result: Full audited financial statements are required under IFZA’s published criteria.

Small Turnover, Larger Team

Turnover: AED 2 million  | Employees: 12 Turnover is below AED 3 million, but the company has more than 9 employees.

Result: It does not qualify for simplified financial statements because both conditions must be met. Audited financial statements are therefore required.

IFZA Audit and UAE Corporate Tax Are Different

What About IFZA Qualifying Free Zone Persons?

A company that wants to benefit from the UAE Corporate Tax treatment for a Qualifying Free Zone Person (QFZP) must meet the applicable conditions.  IFZA’s 2026 QFZP guide states that annual financial statements must be audited and prepared in accordance with IFRS or equivalent standards for QFZP compliance.
This creates an important distinction:
A company might qualify for IFZA’s simplified financial statement route based on its turnover and employee count, but QFZP status can create a separate audited-financial-statement requirement.
